TERMS & CONDITIONS FOR FREELANCE HEADHUNTERS

1. GENERAL

1.1. You and Grecruit.co., ltd (“Grecruitor, Grecruitor.com”, “we”, “us”, and “our”) agree that your access to and use of the web site located at www.grecruitor.com, and any mobile app provided by us in the future, is subject to your agreement to these terms of service. to make these terms of service easier to read, the foregoing referenced web site and any future mobile app are referred to as the “web site” and the services provided by us through the web site and any related mobile app are referred to as the “services.” your use of the web site, any related mobile app or the services is subject to your agreement to these terms of service, which will become a binding agreement between you and us (the "agreement"). we are willing to allow you access to the web site and any related mobile app and provide the services only upon the condition that you accept all of the terms of this agreement. please read these terms carefully. after reading the terms, if you agree to the terms of service, please indicate your decision by clicking the checkbox on the account sign up/registration form next to the statement that reads “i agree to grecruitor’s terms & conditions.” if you do not agree, you will not be able to establish an account and use our services. in all cases, by accessing, registering as a user, viewing or using our web site, you agree to the terms of service.

1.2. Grecruit Limited Company (Business Code 0109381177) ("Brand name: Grecruitor") provides information and methods for You to introduce Candidates for Client, but neither and nor intention to provide recruiting Services in any form as an operator of recruiting individuals or organizations.

1.3. Grecruitor.com is a recruitment consulting service that neither provides nor participates in recruitment services and Grecruitor is not a recruiting service provider. Grecruitor platform is provided to enable You (as a recruiter) to introduce and connect candidates with Client. The role of Grecruitor is to connect Client with You. Grecruitor will not be responsible for any of your actions and/ or omissions, the liabilities related to the service must be borne by You for your acts. You are not the recruiter's agent, employee or worker and the information provided by You is not considered to be provided by Grecruitor.

1.4. We reserve the right to amend the terms and conditions of this Agreement and company policies of relevance to Our services whenever deemed appropriate. Amendments made to the terms and conditions take effect immediately once the revised terms and conditions has been posted, or when you accept and confirm the amended Terms and Conditions.

1.5. Once you open an account, you must select a currency that you are able to do transaction. All the information such as but not limited to Reward, Interview Bonus, Payment, etc will be displayed as your selected currency because Reward, Interview Bonus, Salary, etc may be input with different currencies. The number may be slightly various in different time as we apply converting currency basing on website: https://www.exchange-rates.org

2. REWARDS FOR SUCCESSFUL REFERRAL

2.1. The Referrers once log in website, the platform will show EST REWARD (Estimated reward) that the fee for one successful candidate. The Referrers will get 50% of the total fee of a successfull candidate. The details will be informed to the Referrers after we have candidates on board and exact salary package. Note: The total fee is "the recruitment fee x salary package".

*EST REWARD = the total possible highest fee for a successful candidate.

2.2. You will receive a referral bonus in 2 periods if your candidate referral is successful (starting the date the candidates work for our clients):

i. 50% of the referral reward will be paid after the Candidate has finished the first 30 days.

ii. 50% of the referral reward after Client has signed an official employment Agreement with the Candidate.

2.3. In our network, we would like to show our gratefulness and acknowledge to your contribution by headhunter levels as below: (Temporarily paused since July 2021. Will inform once we reopen this)

Level cycle count  is 1 (one) year starting 9 March 2021. The level can be upgraded or downgraded as the below conditions. After end of 1 (one) year cycle, all  accounts' level will be automatically downgraded 1 (one) level.

THIS WILL BE AN ADDITIONAL BONUS AMOUNT TO YOUR TOTAL REWARD.

For example: You refer successfully 2 candidates and you get total reward of $3000. 

Your current level is BRONZE. You will get additional bonus amount that is 8% x $3000 = $240. So the total reward you will get paid is $3000 + $240 = $3,240.

If fail to do that, you will be downgrade to previous level.

If fail to do that, you will be downgrade to previous level.

If fail to do that, you will be downgrade to previous level.

Total 250 referrals that Grecruitor agreed and at least 11 successful referrals since registering an account.

*Since the date of upgrade, if within next 30 days your total referrals that Grecruitor agreed since registering an account is not enough to upgrade to new level, you must have at least 30 referrals within next 30 days to maintain your current level. If fail to do that, you will be downgrade to previous level.

If fail to do that, you will be downgrade to previous level.

2.4. You have no limit to refer the candidates or receive rewards.

2.5. If you refer a company that use our service, you will get reward of the contract for each successful candidates. You will receive the bonus after guarantee period of the candidate. Contact our specialist for reward details.

2.6. Grecruitor has the right to view profiles and reject unqualified referrals. When rejecting, Grecruitor will inform the reason, You can edit and update the information to continue referring candidates.

2.7. You agree and acknowledge that, in any case, if Client has not paid the Platform Usage Fee for Grecruitor, Grecruitor will not pay referral rewards to You. This situation often happens to enterprises or employers recruiting through Grecruitor for the first time, and payment is delayed due to paperwork.

2.8. You are not allowed to public name of our clients. If we find that you violate many times (even after we remind you several times), we have all rights to terminate your account with email notice.

3. PAYMENT

3.1. The payment will follow as the Term 3 and the amount may be a slight different at the time you get paid as we apply currency converting basing on the website: https://www.exchange-rates.org

3.2. For members who self-nominate for the hiring position, with each reward You earn, Grecruitor will take Platform Usage Fee up to 50% of the referral reward specified for each successful candidate referral. This fee will be decided entirely by Grecruitor, from time to time.

3.3. You are able to check your estimated and paid income in your account. Grecruitor will contact and send you your income statement and pay on the 10th and 20th of every month. The payment amount will be the sum of your successful transactions from the reporting date back to the previous "summary date". The actual amount received will be deducted 10% of the PIT ( Personal Income Tax ) or our team will reach you for details. 

3.4. Your payment will be transferred to Local Bank Account information provided by You. You are responsible for the Bank Payment Fee (if any).

3.5. Claims for received payments must be sent to the Grecruitor in writing or support mailbox within 07 (seven) days from the date You receive the income statement.

4. WARRANTY

Grecruitor applies a warranty package of 60 (sixty) days from the first day Candidates start working for Client. For any reasons that the candidates leave the job or does not pass within the guaranteen period, you must refer a replacement. If you are unable to, you must refund the paid amount. In case, the employers do not want a replacement or continue recruitment for the position anymore, you will receive:

5.1. 0% of the referral reward if the candidate ends working for the first 15 days of work.

5.2. 25% of the referral reward if the candidate ends working the 16th day to the 30th day.

5.3. 50% of the referral bonus if the candidate ends working between the 31th day and the 60th day.

5.4. 100% of the referral reward after 60 (sixty) days from the day the Candidate starts working.

5. PERSONAL DATA PRIVACY AND SECURITY 

5.1. Provision of Personal Information and Service Denial
You are not obliged to share any personal information. However, omitting certain information results in an incomplete use of The Service and We may deny you from using the service if the information you provide is deemed insufficient.

5.2. Use of Service
If you wish to use our product(s) or service(s) made available through The Service (“Service”), you may be asked to provide certain personal information relevant to your referral including, without limitation, your name, address, and other personal details, and the personal and private information of your referred candidates.

5.3. Use of Data

We may use and process your personal data for Grecruitor’s activities and business purpose including but not limited to sending notification, messages, emails, advertising, checking and verifying information and/or other that Grecruitor needs to use for business purpose without disclosing your personal information.
 
5.4. Changes in Personal Information
If there are any changes to the personal information you have provided us e.g. change in email address, physical address, phone number, bank account details etc., you are to update our information on our system and/or via our support line by email at info@grecruitor.com for request.

6. YOUR INTELLECTUAL PROPERY RIGHTS

We make no claims on any Submission. Any Submission submitted by you will remain your intellectual property. You represent and warrant that: (i) you have obtained all necessary third party rights, including, without limitation, copyrights, for any Employment Opportunity posting, or resumes submitted by you.  You will be responsible for making back-up and archival copies of your Submissions. In no event will we be responsible to you or any other person for any loss, corruption or alteration of Submissions.
 
7. INDEMNIFICATION

7.1. You agree to indemnify, defend and hold us and our directors, officers, agents, contractors, partners and employees, harmless from and against any loss, liability, claim, or demand, including reasonable attorneys' fees, arising out of or related to:

(i) your breach of any representations or warranties made by you hereunder or your breach of any term of this Agreement;

(ii) your use of the Services or the Web Site in violation of this Agreement; or

(iii) your Submissions and/or your violation of any law or the rights of a third party.

7.2. You hereby agree not to sue, assist in or be a voluntary party to assist in or be a voluntary party to, except as required by law, any action, suit, or proceeding against us for any claims, actions, suits, damages, liability, losses or expenses of whatever kind or however arising out of or relating to your use of the Web Site or the Services.
 
8. OUR INTELLECTUAL PROPERTY RIGHTS

You acknowledge that we own all right, title and interest in and to the Web Site and the Services (the "Intellectual Property"), and such Intellectual Property is protected by Vietnam and international intellectual property laws.

8.1 The Service allows you to post, link, store, share, and otherwise make available certain information in certain formats (text, graphics, videos, or other material (“Content”)) at your own discretion. You are responsible for the content you post on our website.

8.2 It is your sole responsibility to screen and ensure that the contact details of your referral(s) are correct before submitting them onto the platform. The Company will not be held liable in the case where you have neglected to check and to redact contact information of your referral(s).

8.3 The Company shall not be held liable if you have provided the wrong, or missing information to the Clients. Any wrong, missing information is subjected to the Client’s discretion to pursue any legal actions. You shall agree to indemnify and compensate us for all legal liabilities in the event that such legal actions are initiated.

8.4 You reserve the right to track for your referral(s) progress by using our system or get help from the Company. In the event that the Company is alerted by a referee that he/she has not consented to being represented by you, we will cease all referral activities carried out by you on the platform to ensure the privacy of all individuals. We will also review such offenses on a case-by-case basis and issue penalties if and when deemed appropriate.

8.6 All candidates referred shall have a validity period of three months from the date of referral (03 calendar months), after this period, the application and information of your hired candidate(s) will disappear in your account on our system. In case you want to re-refer this candidate, you need to upload this candidate information again to your account and start referring to a new loop of candidate ownership. 

8.7 If you have uploaded a candidate but do not apply any jobs, any other headhunters are allowed to refer that candidate if the candidate approaches them or that headhunter approaches them and the candidate agrees to apply. In this case, your candidate data will be deleted.

9. DUPLICATE REFERRALS

9.1. It is understood and agreed that in the event of the Company or Client receiving resumes or any other information in respect of the same candidate from you as well as any other sources, the Company or Client will consider the one which was received by it first as the source of the candidate.

9.2. The decision of the Company or Client will be final and binding in this regard.

10. APPLICABLE LAW

This Agreement shall be governed by and construed in accordance with Vietnam law. Any dispute arising out of or relating to this Agreement shall first be resolved amicably. If this fails, ​in relation to any legal action or proceedings arising out of or in connection with this Agreement, the Parties hereby irrevocably submit to the non-exclusive jurisdiction of the courts of Vietnam.

11. DISPUTE SETTLEMENT MECHANISM

10.1. All disputes and complaints related to the transactions on the Platform between Client and You will be settled personally by the two parties.

10.2. All dispute arising between You and Grecruitor will be settled on the basis of negotiation. In case no agreement is reached as expected, either party has the right to bring the case to the competent People's Court for settlement.

10.3. Grecruitor will not be responsible for any case related to the case that You have not deleted the contact information of the Candidate in the profile posted to the Grecruitor system.

12. AGREEMENT'S VIOLATION

If you violate the agreement, we have the rights as below:

12.1. Delete Your Account on Grecruitor's recruitment platform

12.2. Delete the Candidate information you have introduced through Grecruitor's recruitment platform

12.3. Requests You to refund all fees received from Grecruitor that You have through your violation.
